THEN I MET YOU ART SHOW CONTEST
OFFICIAL RULES
NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. MAKING A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. The Then I Met You Art Show Contest (the “Contest”) is sponsored by Then I Met You, LLC, having an address of 1261 Broadway, Suite 1001, New York, NY, 10001 (“Sponsor”).
ELIGIBILITY:
Subject to these Official Rules, the Contest is open only to permanent legal U.S. residents physically residing in the fifty (50) United States of America and the District of Columbia, who are at least 18 years old as of the date of entry. Employees of Sponsor, Then I Met You, LLC, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies and any other entity involved in the development or administration of this Contest, and their immediate family members or household members are not eligible to participate in or win the Contest. this contest is void where prohibited or restricted by law, including but not limited to jurisdictions with laws that would require registration, disclosure, filing, trust account, or posting of a bond, or any other requirements, that are not satisfied by these terms and conditions. ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS APPLY.
ENTRY PERIOD:
The Contest begins at May 18th, 2020 at 9:00AM PST, and ends Wednesday June 17th at 11:59:59PM PST (“Entry Period”). Then I Met You will provide ample time when announcing the new Then I Met You Art Show submission deadline.
HOW TO ENTER:
No purchase or payment is necessary to participate in the Contest. During the Entry Period, enter the Contest through visiting https://thenimetyou.com/pages/then-i-met-you-art-show, follow the steps and comply with the requirements described below.
Achieving entry status can be made during the Entry Period only by following all of the steps below:
- Post your artwork on Instagram using #ThenIMetYouArtShow, #thenimetyou and tag @thenimetyou in the caption. Your Instagram account must be public. Your artwork must be posted during the Entry Period. You can, however, repost a previously created artwork.
- Fill out the form at this link https://thenimetyou.com/pages/then-i-met-you-art-show entirely.
- Email a digital version of the artwork you posted on Instagram to events@thenimetyou.com. You will receive a confirmation of your entry.
Your piece of artwork must meet the following criteria to be considered an entry:
- Be a unique representation of Then I Met You (the brand and/or name), feature Then I Met You periwinkle blue and other elements of the brand - such as jeong in some physical interpretation, or showcase the products of Then I Met You solely in the image. Without limiting the foregoing, images featuring or containing any other brand or product will not qualify as an entry.
- Your artwork can be on any medium: photography, graphic design, illustrations, watercolor or other art captured in a photo or video (like sculpture), etc.
- You do not need to own the physical Then I Met You products to participate.
Multiple entrants that submit the same content will be disqualified. Any late, lost, misdirected, incorrect or incomplete entries will be disqualified and Sponsor and its agents will not be responsible for such entries.
By submitting an entry, you agree that all artwork submitted and any other information and material provided by you or collected by Sponsor in connection with the Contest (collectively, “Content”) may be used by Sponsor in accordance with Sponsor’s Terms of Service (available at https://thenimetyou.com/pages/terms-of-service) and Privacy Policy (available at https://thenimetyou.com/pages/privacy-policy) and may be shared with Sponsor’s affiliated business entities. Without limiting the foregoing, you hereby grant Sponsor a (and its affiliates, successors and assigns), without additional consideration, a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable right and license to use, reproduce, copy, modify, publish, display, distribute, translate, create derivative works, and otherwise use and exploit the Content, including all intellectual property rights related thereto, in any digital or other media (whether now known or hereafter developed), including social networks. Sponsor has the right, but not the obligation to, to use your Content. If Sponsor elects to use your Content, Sponsor will credit you as the artist for such Content.
You hereby confirm that: the entry (including all the Content) is your original creation; the entry was not copied (in whole or in part) from any other work; you have obtained a binding written release from (and signed by) every other person or copyright holder who (or whose work is) shown in the entry, as necessary to grant Sponsor the rights provided herein; the entry does not infringe or violate any copyright right, trademark right, publicity right, privacy right or other proprietary right of any person or entity (including without limitation, any property owner); and Sponsor will not be obligated to pay any compensation to, or permit any participation by, any third party in connection with the use, publication, distribution or exploitation of any entry.
Sponsor expressly reserves the right to disqualify any entries that it believes in good faith are generated by an automated means or scripts. Entries generated by script, macro or other automated means are void.
PRIZES:
One winner will be selected in accordance with these Official Rules. The winner will receive the prize consisting of 3 units of each of the 6 currently existing products of Then I Met You (18 total items, the “Prize”). The Prize represents roughly one year’s supply for normal use of such products. Sponsor will deliver the Prize to the winner in one shipment. The retail value for the Prize is $660.
Decisions of the Sponsor are final and binding with respect to all matters related to the Contest. In no event shall the Sponsor be obligated to award any prizes other than the Prize specified in these Official Rules. The Prizes are non-transferable and no substitutions (including, without limitation, for cash) are permitted, except that Sponsor reserves the right to substitute a prize of equal or greater monetary value for any Prize if such Prize should become unavailable for any reason. Sponsor will be responsible for shipping and handling charges for delivering the Prize. Winners shall be responsible and liable for all federal, state and local taxes arising out of his/her receipt of the Prize. Decisions of the Sponsor are final and binding with respect to all matters related to the Contest. In no event shall the Sponsor be obligated to award any prizes other than the Prizes specified in these Official Rules. Please allow 6 weeks for delivery of Prizes. Then I Met You, LLC shall be responsible for Prize fulfillment.
PRIZE SELECTION:
The winner will be selected in two steps:
Step One: After the Entry Period is over, Sponsor will review the eligible submissions and choose 10 entries as the finalists based on the following criteria:
- Strict compliance with all the requirements in these Official Rules;
- Creativity and originality used in depicting the theme in the submission; and
- Quality and estimation of effort in the artistic composition and design of the submission.
Step Two: Sponsor will publish the entries chosen as finalists pursuant to Step One above on its website https://thenimetyou.com/pages/then-i-met-you-art-show, and open up a community voting period for one week (the “Voting Period”). During the Voting Period, finalists can recruit their audiences and followers to vote for them and increase the number of their votes. The finalist with the highest number of qualified votes, as counted and determined by Sponsor, will be considered the winner of this Contest. There will be ONE winner.
The decision of Sponsor is final and binding. Sponsor expressly reserves the right to disqualify any finalist that it believes in good faith is engaged in fraudulent voting by automated means or otherwise.
The Contest will be conducted under the supervision of the Sponsor. The decisions of the Sponsor are final and binding in all matters relating to this Contest. The winner will be notified by email; provided, however, that Sponsor reserves the right to determine an alternate method of notification. The winner must claim their Prize within 14 days after the date of notification of such Prize. A Contest winner's failure to respond to the Prize notification within the specified 14 days will be considered such Contest winner's forfeiture of the prize and an alternate winner may be selected from the pool of eligible entries. If an entrant is found to be ineligible, an alternate winner may also be selected from the pool of eligible entries.
GENERAL CONDITIONS AND RELEASES:
By entering the Contest or accepting a Prize, you agree to conform to all federal, state and local laws and regulations. When applicable, the winner may be required to execute and return (and winning may be conditioned upon the winner executing and returning) to Sponsor, within ten (10) business days, an Affidavit of Eligibility and a Liability and Publicity Release drafted by Sponsor to be eligible for the Prize or an alternate winner will be selected. Winners may be required in Sponsor’s sole discretion to complete relevant tax forms as a condition to the delivery of the applicable prize. Winner may also be required to furnish proof of identity, address and birth date in order to receive a Prize.
Unless prohibited by applicable law, your acceptance of a Prize constitutes your permission to use your name, photograph, likeness, voice, address (city and state) and testimonials in all media, in perpetuity, in any manner Sponsor deems appropriate for publicity purposes without any compensation to such entrant or any review or approval rights, notifications, or permissions; and constitutes your consent to disclose your personally identifiable information to third parties (including, without limitation, placing the winner’s name on a winner’s list).
An entrant or winner may be disqualified from the Contest if he or she fails to comply with each provision of these Official Rules, as determined in the sole discretion of the Sponsor. Participation in the Contest is at entrant’s own risk. Sponsor shall not be liable for: (1) failed, returned or misdirected notifications based on inaccurate information provided by the winner in connection with an entry; (2) entries and responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for computer or technical error of any kind; (3) any electronic miscommunications or failures, technical hardware or software failures of any kind, lost or unavailable network connections, or failed incomplete, garbled or delayed computer transmissions which may limit an entrant's ability to participate in the Contest; (4) any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from downloading any application or otherwise in connection with this Contest; or (5) any warranty with respect to any Prize or any component thereof. THE PRIZES ARE AWARDED “AS IS” AND SPONSOR DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE PRIZES.
NOTWITHSTANDING ANYTHING ELSE HEREIN OR OTHERWISE, SPONSOR AND/OR ITS VENDORS SHALL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (A) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS), (B) DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND/OR (C) ANY MATTER BEYOND SUCH PARTIES’ REASONABLE CONTROL.
